Welcome to the official website of AM’s Group. These terms and conditions set out the arrangements between Tianji Stuffed Food (天记酿料) and individuals or businesses interested in franchise cooperation, purchasing products or other business collaboration. By browsing this website, submitting a partnership application or ordering products, you confirm that you have read and understood the terms and conditions that apply to those matters.
1 Partnership models
Tianji Stuffed Food offers the following business opportunities:
- Franchise: Partners interested in joining the Tianji Stuffed Food franchise system may submit a franchise application to us.
- Product purchase and resale: Businesses may purchase designated products and sell them through their own outlets.
- Other business collaboration: Other forms of cooperation are subject to discussion and confirmation by both parties.
All partnership applications are subject to review. Submitting an application does not mean a partnership has been formally established.
2 Franchise
Applicants wishing to join the Tianji Stuffed Food franchise must comply with the franchise requirements and related rules set by the company.
The franchise application, franchise fees, outlet requirements, brand usage rights, operating standards and other related matters will be determined by the specific franchise plan and the formal franchise agreement.
No individual or business may, without approval, operate as a Tianji Stuffed Food franchisee, official outlet or authorised representative.
3 Product purchase and resale
Businesses may purchase designated products, subject to availability and purchase conditions, and sell them in their own outlets.
Unless otherwise authorised in writing, purchasing products does not automatically give a business franchise status, exclusive distribution rights, or the right to use the company’s brand names, trademarks or materials.
Partner businesses are responsible for their own outlet operations, staff management, business licences, taxes and other related operating matters, and must ensure their sales activities comply with applicable laws and regulations.
4 Product information and supply
The company will make every effort to ensure that the product details, images, descriptions and other information shown on this website are accurate.
Product range, specifications, packaging, prices and availability may be adjusted according to actual circumstances. Specific product information and trading terms are subject to the quotation, order or other written documents finally confirmed by both parties.
5 Prices and payment
Product prices, minimum order quantities, payment methods, shipping fees and other purchase conditions will be determined by the relevant policies published or provided by the company, and communicated to the customer or partner before the order is confirmed.
Where franchise fees, deposits or other related fees are involved, the specific amounts and payment terms will be determined by the relevant franchise plan or formal agreement.
6 Orders and delivery
All orders are only established once confirmed by Tianji Stuffed Food.
Delivery time, location, transport arrangements and related fees will follow the order terms confirmed by both parties.
If delivery is affected by insufficient stock, transport delays or other unforeseeable circumstances, Tianji Stuffed Food will make reasonable efforts to communicate with the customer or partner concerned and arrange follow-up handling.
Customers and partners are responsible for ensuring that the order details, contact information and delivery address they provide are accurate.
7 Returns, exchanges and refunds
Product returns, exchanges and refunds are subject to the company’s applicable return and exchange policy and the relevant order terms.
If products received have quality problems, incorrect quantities or are the wrong items, the customer or partner should promptly notify the company’s customer service and provide the relevant order details and any necessary proof.
Return requests made because of poor sales, excess stock or the partner’s own business reasons are subject to the company’s review and approval, except where applicable law provides otherwise.
8 Brand and intellectual property
The intellectual property in the brand names, trademarks, logos, images, designs, text and other related content shown on this website belongs to its lawful owners.
No individual or business may, without authorisation, copy, modify, publish, use or otherwise exploit the above content for commercial activities.
Franchisees or partners approved to use the company’s brand materials must comply with the scope of authorisation and the brand usage rules.
9 Partners’ responsibilities
Partners must conduct business honestly and lawfully, and comply with applicable laws and regulations and the cooperation terms agreed by both parties.
Partners must not make false advertising or misleading statements, or act in any way that may harm the company’s brand reputation or business interests.
Partners must also ensure their outlets and product sales comply with applicable business, product storage, labelling and other related requirements.
10 Changes to these terms
To the extent permitted by applicable law, the company reserves the right to update or amend the terms and conditions on this website in line with business development, product supply or changes in related policies.
Amended terms will be published on this website with the corresponding update date. Matters involving existing orders or signed agreements will continue to be handled under applicable law and the relevant agreements.
11 Ending a partnership
If a partner breaches the applicable terms, a formal agreement or relevant laws, the company may take appropriate measures according to the specific circumstances and applicable law.
Termination of franchise cooperation, handling of brand usage rights, outstanding orders and other related matters shall follow the formal franchise agreement or other agreements between the parties.
12 Governing law and disputes
These terms and conditions are governed by the applicable laws of Malaysia.
If a dispute arises over these terms or related cooperation, the parties should first try to resolve it through friendly negotiation. If no agreement can be reached, either party may seek appropriate legal remedies under applicable law.
Thank you for your interest and support. We look forward to building a mutually beneficial, long-term and stable partnership with you.
